Packaging and grouped supply

3Dresyns® Products may be supplied in individual containers or in grouped packaging, depending on the Product, total quantity ordered, applicable commercial conditions, transport requirements, and agreed packaging format.

Where multiple units of the same Product, Product version, and compatible configuration are ordered, the corresponding quantity may be consolidated into one or more larger containers according to the Company's grouped-packaging conditions.

For example, several units of the same Product may be supplied as an equivalent total net quantity in a larger bottle, jerrycan, drum, or other appropriate container rather than as multiple smaller containers.

Total Product quantity

Grouping changes the number or size of the containers supplied. It does not reduce the total Product quantity included in the order.

Unless otherwise expressly agreed, grouped packaging is intended to contain the equivalent total net quantity corresponding to the Products ordered, subject to the applicable filling tolerances and Product specifications.

When grouped packaging may be used

Grouped packaging may be used where:

  • multiple units correspond to the same Product, version, and compatible configuration;
  • the Products can appropriately be supplied together in a larger container;
  • grouping is compatible with applicable safety, transport, labelling, traceability, and regulatory requirements;
  • the applicable order or discount conditions provide for grouped packaging; and
  • an individual-container format has not been expressly agreed as a material requirement of the order.

Products from different formulations, materially different versions, incompatible configurations, or different lots will not be combined into a single container where doing so would compromise Product identity, traceability, safety, or conformity.

Grouped packaging and order-value discounts

Order-value and volume discounts apply only to eligible physical Products supplied in grouped packaging.

Where an order benefits from a 10%, 20%, 30%, 40%, or other order-value or volume discount, eligible quantities of the same Product, version, and compatible configuration are supplied in grouped packaging unless the Company expressly agrees otherwise in writing.

Individual small-format containers, individual retail-size bottles, or other non-grouped packaging are not eligible for order-value or volume discounts unless a specific exception is expressly agreed by the Company in writing before order confirmation.

This rule applies independently of the total monetary value of the order.

Reaching an order-value threshold does not create discount eligibility where the Buyer requests small, individual, or retail-size packaging instead of the grouped packaging required for the applicable discount.

For example, ordering multiple small bottles with a total order value exceeding a discount threshold does not entitle the Buyer to receive both the order-value discount and all quantities in the original individual small-format containers.

The Buyer must therefore choose the applicable commercial configuration:

  • Grouped packaging: eligible for the applicable order-value or volume discount where all other discount conditions are satisfied; or
  • Individual small-format packaging: supplied at the applicable non-discounted price or under a separately negotiated written B2B quotation.

Any exception allowing both discounted pricing and individual small-format packaging must be expressly confirmed by the Company in writing before order confirmation.

Discount calculation and packaging configuration

Discount thresholds are calculated according to the applicable eligible order value and commercial conditions. Reaching a monetary threshold does not remove the packaging conditions associated with the discount.

Where a Buyer changes an order from grouped packaging to individual small-format packaging, the Company may recalculate the applicable price, discount, packaging cost, quotation, or other commercial conditions before order confirmation.

Likewise, a quotation prepared on the basis of grouped packaging does not automatically remain valid if the Buyer subsequently requests individual bottles, retail packaging, additional labels, separate filling, or another more resource-intensive packaging configuration.

Why discounts are linked to grouped packaging

Order-value and volume discounts for physical Products are structured around the operational efficiencies created by grouped packaging.

Compared with supplying the same quantity in numerous individual containers, grouped packaging may reduce:

  • the number of containers required;
  • individual filling operations;
  • individual labelling operations;
  • packaging materials;
  • handling operations;
  • preparation time;
  • shipment volume or complexity; and
  • other packaging and logistical requirements.

Accordingly, the discount applies to the eligible grouped-supply configuration and should not be interpreted as an unconditional reduction in the unit price of individual small-format containers.

Individual small-format containers

Buyers may request Products in specific individual container sizes instead of grouped packaging.

Where individual small-format bottles or other separate containers are required, this requirement should be communicated before order confirmation.

Such orders are not eligible for standard order-value or volume discounts unless the Company expressly agrees otherwise in writing.

The applicable price may therefore reflect the individual filling, packaging, labelling, handling, traceability, and logistical requirements associated with the requested configuration.

Original Website bottle sizes

The presence of a bottle size, container size, image, Product variant, or unit quantity on the Website does not mean that multiple discounted units will necessarily be supplied as multiple individual containers.

For example, where a Buyer orders several units of the same Product and receives an order-value or volume discount subject to grouped packaging, the total quantity may be consolidated into a larger suitable container rather than supplied as the corresponding number of individual Website-size bottles.

Where the Buyer specifically requires the original individual bottle sizes displayed or offered on the Website, the order should be placed or quoted under the applicable individual-packaging conditions.

Specific packaging agreed in an order

Where a specific number, size, or type of individual container is expressly identified and accepted as a material requirement in an order, quotation, or individually negotiated agreement, that agreed packaging requirement applies to the relevant order.

If the agreed packaging configuration is inconsistent with the requirements of a standard order-value or volume discount, the applicable pricing or discount must be adjusted or separately agreed before order confirmation.

Packaging for resale

Customers requiring individual Product containers for resale, distribution, inventory management, laboratory allocation, internal traceability, or another specific commercial purpose should request the required packaging configuration before ordering.

Resale or distribution arrangements involving individual packaging may require a separate B2B quotation or written agreement covering, where applicable:

  • container sizes;
  • number of individual units;
  • packaging materials;
  • labels and Product identification;
  • batch or lot traceability;
  • minimum order quantities;
  • pricing and discounts;
  • regulatory documentation;
  • transport requirements; and
  • other applicable commercial or legal conditions.

Discounted grouped-packaging prices should not be assumed to apply to Products prepared for individual resale or distribution.

Customized packaging

Requests for customized container sizes, private packaging configurations, individual filling, special labels, customer-specific labels, additional documentation, or other non-standard packaging may be subject to:

  • minimum order quantities;
  • additional packaging or preparation charges;
  • different discount conditions;
  • additional lead time;
  • technical or regulatory review; and
  • a separate written B2B quotation or agreement.

No customized packaging configuration is considered accepted until expressly confirmed by the Company.

Labelling and Product identification

Containers supplied by the Company will carry the Product identification, traceability information, hazard or precautionary information, and other labelling required under the regulatory framework applicable to the Product and supply configuration.

Grouped packaging does not remove applicable safety, classification, labelling, traceability, or regulatory requirements.

The precise label format may depend on the Product, container size, market, Product classification, version, lot, and applicable regulatory requirements.

Lot traceability

Grouped packaging is managed so that appropriate Product and lot traceability can be maintained.

Different lots will not ordinarily be mixed into a single container unless such combination is specifically controlled, appropriately documented, and consistent with the Company's applicable quality and traceability procedures.

Product versions and configurations

Grouped packaging applies only where the Products concerned are suitable for consolidation.

Different Product versions, viscosities, colors, pigmentations, functional configurations, customized formulations, or other materially different configurations will not be combined merely because they share the same general Product family or commercial Product name.

Packaging materials and compatibility

The Company selects packaging intended to be suitable for the relevant Product, container size, storage framework, and normal supply conditions.

Packaging formats may differ between Products because chemical compatibility, viscosity, volume, functional additives, transport requirements, and other technical factors may require different container materials or configurations.

The fact that one Product is supplied in a particular bottle, jerrycan, drum, or other container does not mean that the same packaging is suitable for every other 3Dresyns Product.

Changes to packaging formats

The Company may modify packaging formats for future supply where reasonably necessary or appropriate because of:

  • Product compatibility;
  • safety requirements;
  • regulatory requirements;
  • packaging availability;
  • sustainability requirements;
  • transport requirements;
  • quality improvement;
  • supply-chain changes; or
  • operational efficiency.

A packaging change does not, by itself, mean that the Product formulation or Product version has changed.

Where a particular packaging format has been expressly agreed as a material contractual requirement, the Company will not substitute it with a materially different packaging configuration contrary to that agreement or mandatory law.

Website images and packaging appearance

Product photographs, renders, illustrations, and other Website images may show a representative packaging format and should not be interpreted as guaranteeing that every quantity, order, Product version, or market will use exactly the same container appearance or size.

The supplied Product identity, quantity, version, SKU, lot information, applicable documentation, expressly agreed packaging requirements, and applicable discount conditions determine the relevant order configuration.

Customer repackaging and transfer

Where a customer transfers a Product from its original 3Dresyns container into another container, subdivides the Product, repackages it, or distributes it downstream, the customer is responsible for assessing and complying with the safety, chemical compatibility, identification, traceability, labelling, transport, regulatory, and other obligations applicable to its own activities.

The customer should use packaging materials compatible with the Product and take appropriate measures to prevent contamination, unintended light exposure, moisture exposure, leakage, deterioration, or loss of traceability.

Customer repackaging does not create a new 3Dresyns Product, version, SKU, lot number, label, or regulatory approval unless expressly issued or accepted by the Company.

Original labels

Original Company labels should not be removed, modified, obscured, reproduced, or transferred to another container in a manner that creates misleading Product identification, incorrect traceability, inaccurate safety information, or the false appearance that a repackaged or modified Product was supplied in that form by 3Dresyns.

Where a Business Buyer resells or redistributes Products, responsibility for downstream packaging and labelling shall be determined according to the applicable agreement, the Buyer's role in the supply chain, and applicable law.

Transport packaging

Outer transport packaging, protective materials, secondary packaging, container arrangement, and shipment consolidation may be selected according to Product quantity, destination, transport mode, carrier requirements, applicable dangerous-goods requirements where relevant, and other logistical considerations.

The external shipping package may therefore differ between orders even where the underlying Product is the same.

Damage or leakage during transport

Packaging is intended to support appropriate transport of the relevant Product under the applicable shipping conditions, but transport incidents, leakage, external damage, or other delivery issues must be assessed according to the circumstances of the particular shipment.

A damaged outer carton does not, by itself, establish that the Product inside is non-conforming, and an apparently intact outer package does not prevent a legitimate concealed-damage or leakage claim.

Transport-related claims are governed by the Company's Loss, failed delivery, damage in transit & short shipment policy.

Business Buyers

For Business Buyers, packaging requirements different from the Company's standard grouped-supply format may be subject to separate commercial conditions, minimum quantities, additional costs, different discount conditions, additional lead times, or individually negotiated terms.

A Business Buyer requesting individual small-format packaging should not assume that an order-value or volume discount remains applicable.

Where an accepted B2B quotation or agreement establishes a specific packaging configuration and price, that agreement prevails for the matters specifically governed by it.

Consumers

Where the Buyer qualifies as a Consumer, grouped packaging or a change in container format does not permit the Company to reduce the agreed quantity, supply a materially different Product, disregard a packaging characteristic expressly forming part of the contract, or otherwise limit mandatory conformity rights.

Nothing in this policy excludes or modifies mandatory Consumer rights concerning Product description, quantity, conformity, delivery, safety, or remedies.

Governing principle

Order-value and volume discounts apply to eligible Products supplied in grouped packaging. Individual small-format or retail-size packaging is not eligible for those discounts unless the Company expressly agrees otherwise in writing. Grouping affects the packaging format, not the agreed Product quantity, identity, traceability, regulatory requirements, or expressly agreed Product specifications.

Relationship with other Legal Terms

This policy must be read together with the Company's Discount policy, Lot numbers, Product versions and SKUs, Loss, failed delivery, damage in transit & short shipment, Terms & Conditions, and Legal Terms.

Mandatory rights and regulatory requirements

Nothing in this policy authorizes packaging, labelling, consolidation, repackaging, pricing, or supply practices contrary to mandatory Product-safety, chemical, transport, environmental, Consumer-protection, or other applicable legal requirements.
